1.  Roles:  I understand and agree to the following:

(a) Choate, Hall & Stewart is a law firm, located in Boston, Massachusetts.  Choate is legal counsel for an investment fund (“Fund”).

(b) I am interested in investing in the Fund.  I am providing information via the ChoateSubscribe subscription agreement portal (“Portal”).

(c) Passthrough, Inc., a company based in New York, powers the Portal.

(d) Passthrough, Choate and the Fund will all have access to the information that I enter.

(e) Choate does not represent me in this matter, and I am free to engage my own legal counsel if I wish to do so.

 

2.  Consent:  I consent to the following:

(a) Transmission – When I type information in the Portal, I am providing my information to Passthrough, and Passthrough will convey my information to Choate and to the Fund.

(b) Use – Choate and the Fund will use my information to review my potential investment in the Fund.

(c) Storage – Copies of my information will stored by Passthrough and by Choate and by the Fund.

 

3.  Disclaimers and Limitations 

(a) I understand that Passthrough is a separate company, which is not affiliated with Choate and is not affiliated with the Fund.  I understand and agree that Choate will not be responsible if there is any data breach or error at Passthrough.

(b) I understand and agree that I am solely responsible for the accuracy of the information that I enter in the Portal.  I agree to hold Choate harmless from and against any and all claims by any third party arising from my use of the Portal, or arising from the information that I enter in the Portal.

(c) To the maximum extent permitted by law, Choate does not accept liability for damages from my use of the Portal, or from the information that I enter in the Portal.  In no event will Choate or any of its partners, employees or agents be liable for damages arising from my use of the Portal, including for any direct, indirect, special, incidental, punitive or exemplary damages.  For any and all such damages, the aggregate liability of Choate to me shall not exceed $1000.00 United States dollars, unless required by law.
