Goodwin Embark powered by Passthrough is Goodwin’s co-branded instance of Passthrough’s online fund subscription management platform (“Embark”). Your election to access and use Embark is at your sole discretion.

You acknowledge and understand that Embark is entirely a Passthrough owned and operated platform. Passthrough is an independent third party provider separate from Goodwin, and Goodwin has no responsibility for or control over the Embark platform or any services provided by Passthrough. Passthrough is solely responsible for the operation, maintenance, functionality, workflows, automations, capabilities, and availability of the Embark platform, and the use, storage, access and availability of data in the Embark platform. Passthrough will directly provide support to you and all users on the Embark platform. By electing to use Embark you acknowledge and understand that Goodwin has no liability to you in relation to your use of Embark or the services provided by Passthrough, and should you suffer any loss as a result of Passthrough’s actions or omissions you will not seek redress from Goodwin. You understand that there is always a level of risk of loss, corruption and theft associated with disclosing confidential information on cloud-hosted platforms.

Goodwin has represented, and continues to represent, Passthrough, Inc. on certain legal matters. Goodwin receives no compensation from Passthrough for making this service available to you on Embark
